As KS has learned, a deal is currently underway to acquire the federal company Magnit from a large Siberian retailer, the Holiday group of companies. Information about this was confirmed to KS by one of Holiday's suppliers and a source within the group of companies. According to preliminary data, the main beneficiary of the Holiday Group, Nikolai Skorokhodov, will retain the Holdy Discounter and Farmer Center brands, while the rest of the business will go to Tander JSC.

According to information obtained by KS, it is planned that as of January 1, 2018, most of the stores of the Holiday group of companies will move under the Magnit brand. As a source familiar with the situation within the company told KS, the main beneficiary of Holiday, Nikolai Skorokhodov, will retain the brands Holiday Discounter and Farmer Center, and the chains Holiday Classic, Sibiriada, Planet Holiday, "Kora", "Tourne", "Palat" - will be part of the Magnit company. It was not possible to contact Mr. Skorokhodov at the time of publication. The Holiday group of companies itself declined to comment.

Let us remind you that Holiday Group of Companies is currently the largest retail chain in Siberia, selling food and non-food products. Founded in 2000 by Nikolai Skorokhodov together with partners in the Land investment group. About 500 stores of the group are located in seven regions of Russia: Novosibirsk, Omsk, Kemerovo, Tomsk and Tyumen regions, as well as in the Altai and Krasnoyarsk territories. "Holiday Company" is included in the TOP-200 largest private companies in Russia according to Forbes magazine. The staff is about 20 thousand people.

Holiday's revenue in 2016 exceeded 58.7 billion rubles, net profit - 241.4 million rubles. The main owner of Holiday Company LLC, according to the Unified State Register of Legal Entities, is H.S.R. Holiday siberiada retailing group limited with a share of 99.92%, another 0.08 - from Fillmark Investments Limited.

Let us recall that in the spring of 2012 the Holiday group of companies planned to acquire X5 Retail Group. At that time, the deal did not take place, but Holiday made significant progress, opening more than 150 stores in a year. According to KS sources, the group of companies made efforts to increase the investment attractiveness of the business. To achieve this, in particular, the chain's unprofitable stores were reformatted under the new Holdie Discounter brand. The group of companies also began to open flagship premium stores, which were to become its calling card. One of them was a store near the Berezovaya Roshcha metro station, on the second floor of which another project of Nikolai Skorokhodov was opened - the city of professions "Sunny City".

In turn, the Magnit company, the largest food retailer in Russia by the number of outlets, was created in Krasnodar by billionaire Sergei Galitsky in 1994. The network includes almost 15 thousand retail outlets, of which 11.1 thousand operate in the convenience store format, 240 hypermarkets, 190 Magnit Family stores and 3,300 Magnit Cosmetic stores. There are Magnit stores in 2,567 localities, almost two-thirds in cities with a population of less than 500 thousand people.

In 2016, Magnit's wholesale sales doubled: to 5.6 billion rubles - approximately 0.5% of total revenue. The company's revenue in the first half of 2017 increased by 6.4%, to 555 billion rubles. Net profit decreased by more than 20%, to 21 billion rubles. In July, the retailer lowered its sales growth forecast for 2017 from 9-13% to 9-11%: since the beginning of the year, the company has been actively getting rid of unprofitable stores. In the first half of 2017, more than 160 stores of various formats were closed.

Based on operational and financial indicators, experts currently estimate the value of the entire Holiday group of companies at 46.9 - 58.5 billion rubles.

“Federal retailers are now actively expanding into the regions,” says FINAM Group analyst Alexey Korenev. “The high level of competition implies an almost obligatory presence of leading retail chains even in remote regions of the country. At the same time, the acquisition of ready-made chains is very common, since this approach allows significantly reduce operating costs due to the existing logistics network, established relationships with suppliers, and a well-established management scheme."

In fact, the federal retailer, according to Korenev, remains to organize a rebranding of the acquired network and carry out a certain reorganization of the management structure in order to organically fit it into the existing one. According to KS, Holiday employees have already been informed of upcoming layoffs, which could affect more than half of the staff. The company currently employs about 20 thousand people.

“This transaction will undoubtedly lead to increased competition both between existing retailers in the region and to greater competition with small-format stores,” Korenev concludes.

The Siberian group of companies “Holiday” unites chains of retail stores in the FMCG segment under the brands “Holiday Classic”, “Holdi”, “Sibiriada”, “Kora”, “Palata”, “Tourne”, “Holdi Plus”, “Chervonets”. As of July 1, 2012, the total retail area of ​​238 stores managed by the Holiday Group in the Altai Territory, Kemerovo, Novosibirsk, Omsk and Tomsk regions is about 168.3 thousand square meters. m. 56 retail facilities were opened in 2011. At the same time, the Sibiriada store in Novosibirsk stopped operating last year. The network plans to open up to 200 Holdi discount stores in Siberia by 2015 (in settlements of 10 thousand people or more) with a total investment of 5 billion rubles.

Market participants are not surprised by the current situation. “Nikolai Skorokhodov (Chairman of the Board of Directors of Holiday Group of Companies) has encountered difficulties that, in my opinion, are associated primarily with excessive credit load. He has to solve two rather complex problems at the same time - reducing the debt burden and maintaining the attractiveness of the stores in head-on competition with the “feds”. It would be very difficult and uncomfortable for me to be in his position today. If you have an exorbitant credit load, an outdated or unattractive format, then no one will help you - not even Putin or Trump,” noted Holiday’s well-known counterparty in an interview with KS. During a public lecture at Omsk State Technical University, he noted that the loan burden of a group of companies could supposedly reach 20 billion rubles. He did not provide any justification for these figures, noting that they were taken from open sources. A source close to the company called the figure of 20 billion rubles completely unrealistic and “pulled out of thin air.”

However, these measures did not contribute to the rapid financial recovery of the group of companies. Claims from suppliers continue to arrive, and the group of companies itself continues to move away from its own retail space. So, for rent and for sale throughout the country from the company.

At the same time, previously market participants believed that the risks of Holiday Group being declared bankrupt were small. “According to my observations, as soon as signs of a decision not in favor of Holiday Group appear, they immediately pay off the debt. There are certain restrictions - if this or that claim reaches its logical end, and the seizure of assets follows, causing the business to stop, the company will not allow this. It is important that despite these claims, they never experienced a technical default. On the one hand, claims may indicate the not very good financial condition of a group of companies. On the other hand, such behavior can be considered as a financial strategy - stop working with one or another supplier, but still have the opportunity to “spin” their money for six months. The question is how to look at it. Maybe this is the only correct strategy, given the situation in the company,” -.

Analysts also agree with this position, noting that the current situation with suppliers probably allowed the group of companies to liquidate part of the total accounts payable, but did not radically improve the situation. At the same time, the situation with the group of companies as a whole and the risks of its bankruptcy does not mean that Holiday will not retain individual stores, for example, Farmer-Tsentr.rf.

“This direction has prospects. Of course, it is important to understand that the culture of healthy eating is very often only in people’s heads, but in the end the top sales of chains are frozen chicken and bananas. Whatever one may say, there are assumptions and there are facts. Yes, this topic will develop, especially against the backdrop of the fact that with increasing competition in the market, we are unfortunately experiencing a loss in the quality of the product itself. In this situation, when farm products are sold at a fair price without loss of quality, they will definitely have their buyer. Also, supermarkets and hypermarkets have the opportunity to develop this area as a separate segment. And this allows us to differentiate ourselves from competitors in the future, when, relatively speaking, there will be dozens of hypermarkets around one large city,” ex-sales director of Auchan Russia Oleg Ermishkin.

I agree with this position and Commercial Director of the Siberian Giant TH Olga Zanina.“Unfortunately, this direction does not show much demand among buyers in the Novosibirsk market - while those players that exist are covering the need for such goods. As for Farmer-center.rf, I talked with company representatives about this project. In principle, for us, regional chains, the main task is to get away from brands. And they do it. This does not mean that these stores offer a farm product. This is their umbrella brand that they have developed and plan to develop. This is a survival strategy,” Olga Zanina.
