Changing the OKVED ID of an individual entrepreneur - step-by-step instructions:

Step 1. Download a new classifier. You know that legislation is regularly changed and updated. The All-Russian Classifier of Types of Economic Activities (OKVED) is no exception. If you have the Guarantor or Consultant + system installed with regular database updates, open the latest classifier, enter your type of activity in the search and receive a line with the code.

Step 2. If you have several new activities, decide which one is the main one and which ones are additional ones. Only 1 activity code can be the main one for an individual entrepreneur. The number of additional ones is unlimited.

Step 3. Download the latest one form P 24001 from the tax office website: http://www.nalog.ru/rn77/forms/4163166/ (remember that the forms are also regularly updated, so it is better to download from reliable resources).

Step 4. Fill out page 1 of the form: We indicate your full name, ORGNIP and INN, in paragraph 2 we put the number “1”. We skip sheets A, B, C, D, D, E - leave them blank and do not print them.

Step 5: Fill out sheet E (page 1) of the form: In paragraph 2.1, indicate the new code of the main activity. Must be at least 4 digits. More is possible, less is not. In clause 2.2 you have a lot of freedom: you can specify 56 additional codes. We remind you that new activity codes are entered on page 1 of sheet E - those that the tax office will enter into the register to replace the previous ones.

Step 6. Fill out sheet E (page 2) of the form: by analogy with the previous one, in paragraph 2.1 we indicate the old code of the main type of activity. Using the same principle, we fill out paragraph 2.2: we add the previous additional types of activities into it.

Step 7. Print out the completed sheets and sheet F (blank!) - 4 pages in total. Reverse printing is not permitted. From the top in the middle we number each sheet as follows: 001, 002, 003, 004.

Step 8. We go to the tax office and, in the presence of an inspector, fill out sheet J. Don’t forget your passport.

Step 9. After 5 working days, we collect an extract from the Unified State Register of Individual Entrepreneurs and a certificate of amendments. There is no state fee for changing the OKVED code for individual entrepreneurs.

Reasons for changing OKVED

OKVED is a Russian classifier that contains more than 1,600 codes. Each of them corresponds to its own type of activity. When starting its activities, the LLC, among other things, fills out registration documents. They indicate one or more codes.

Since the organization itself chooses the type of business, digital values ​​are not assigned, but are chosen by the applicant. One code is indicated on the first page. This is the main activity, accounting for more than 60% of revenue. The rest are additional, and there can be as many of them as you like.

Tax authorities and statistics services cannot assign codes. Based on the information you provide, they can only register the information provided to them.

It is very important to fill out registration documents correctly. Depends on:

  • tax amount;
  • whether the activity is subject to licensing;
  • amount of deductions.

There are cases when the codes do not correspond to the type of activity that the organization has chosen for itself. This may be in the following cases:

  • change of LLC type of activity;
  • purchase of a company;
  • the main activity changes places with one of the additional ones over time;
  • a new type of activity is added.

You can change your OKVED code at any time that is favorable for you and continue to comply with it. The procedure for changing OKVED is quite common: about 90% of all enterprises changed their type of activity at least once. According to Federal Law, the deadline for changing the code is 3 days from the date of introduction of these changes.

Change OKVED LLC

It must be remembered that in some cases the code is indicated in the LLC Charter. Therefore, changes need to be made to the Charter. And this is possible by paying the state fee. The application form for this is P13001, the fee for this will be 800 rubles.

It’s another matter when the Charter contains a clause that states: “The company reserves the right to carry out other types of activities.” In this case, there is no need to change the Charter, and the application form that needs to be filled out is P14001. In this case, no state duty is charged.

Regardless of the conditions under which the OKVED codes will be changed, 2 mandatory conditions must be met:

  • the general director of the company must sign;
  • The notary must certify the document.

Procedure

Step-by-step instructions for changing the OKVED code of a legal entity:

Step one. The application is filled out. The hint above will help you choose a form. If this is necessary, a meeting of the founders is first held.

Step two. Order an extract from the Unified State Register of Legal Entities at the local tax office. This paper will be required from the notary. The statute of limitations should not be more than a month. Depending on the requirements of the notary, it can be reduced to 10 days. The state fee for urgent registration of an extract is 400 rubles. If you are ready to wait five working days, then the usual state duty will be 2 times less, 200 rubles.

Step three. We are preparing documents. We will need:

  • statement;
  • Charter;
  • OGRN certificate;
  • TIN certificate;
  • extract from the Unified State Register of Legal Entities;
  • copies of the director’s or participant’s passport;
  • certificates of OKVED codes in free form.

Step four. Documents must be certified by a notary. This is done by the director, who also certifies his signature on the application. If the director is unable to personally visit the notary, he must draw up a power of attorney for one of the participants.

Step five. All certified documents are sent to the tax office for registration. Instead, the tax officer provides a receipt for receipt of the papers.

Step six. After seven days, you can receive a certificate of receipt of new OKVED codes. This needs to be done as early as possible. Immediately after an enterprise or organization has entered into a new type of business. Penalties for non-compliance of the code with the type of activity will amount to 5,000 rubles.

When changing codes with amendments to the LLC Charter, before submitting documents to the tax service, you need to:

  1. Schedule a meeting of founders.
  2. Make changes or create a new charter.

Note! Tax officials must be notified of changes regarding OKVED codes so that they can record the amendments in the Unified State Register of Legal Entities. Changing the main direction step by step

To change the main code, you can use the following algorithm of actions.

  1. making a decision by the founders of the company to change the main code. The decision is made by voting, the result of which is entered into the minutes;
  2. updating the charter, recording information about changes made in the text of the document. The charter is the main document of the LLC, therefore any information relating to the activities of the company, including changing codes, is recorded in it;
  3. notification of the Federal Tax Service Authority about the decision made at the meeting of LLC participants. Notification of the tax service is carried out by submitting an application in the established format. Along with the application to the tax office, it is necessary to submit a new version of the Charter, taking into account the amendments made, as well as a receipt confirming the fact of payment of the state duty in full;
  4. recording changes in the state register. The implementation of the procedure is within the competence of tax officials. Information on new details of the Charter and data on the change of code/codes must be entered;
  5. receiving ready documents. After 5 days from the date of application, the applicant can pick up the new edition of the Charter and the entry sheet in the state register.

So, if the text of the document contains the phrase “and other types of activities not prohibited by law,” there is no need to change the Charter.

If the text of the Charter does not change, the application to the tax office is submitted on Form 14001. There is no need to pay state duty, since the changes will be recorded only in the register.

How long does it take to make changes?

Despite amendments to the legislation, as a result of which new codes were introduced into the classifier, the procedure for registering changes remained the same. The requirement regarding notice periods has not changed. An application to make changes to the register must be submitted within 3 days from the date of the relevant decision. This requirement is enshrined in Article 5 of the Law “On State Registration of Legal Entities and Individual Entrepreneurs”, the main purpose of which is to regulate the conditions and procedure for registering business entities.

Violation of the established requirement is grounds for bringing the general director of the enterprise to administrative liability in the form of a fine. Penalties are applied not only if the head of the LLC did not report the change of codes to the Federal Tax Service, but also if the deadline allotted by the legislator for the implementation of this procedure is missed. Rules for choosing a new OKVED code

The updated OKVED-2 classifier has been in effect since 2016. You cannot use the old classifier. In 2017, no changes were made to the all-Russian classifier. At the same time, the list of codes allowed for use was approved by Rosstandart order No. 14-st. dated January 31, 2014.

The first two digits “01” indicate the main profile of the enterprise: “Agriculture, forestry, hunting, fishing and fish farming.”

Code 01.11 indicates the cultivation of various grain crops excluding rice, pulses and oilseeds.

A group of six numbers “01.11.11” will narrow the profile to the right to grow one type - wheat.

Don't make mistakes when choosing! If a farmer plans to produce corn in addition to wheat, he should either indicate one combination 01.11, or add a range of several combinations: 01.11.11 and 01.11.14.

It is important to immediately understand how to add OKVED codes for an LLC correctly. Code 01.11.11 will mean that the enterprise has the right to grow wheat and does not have the right to grow barley or rye. If you intend to grow more than one crop, use a four-digit designation rather than a 5-6 digit one.

When filling out documents, indicate one main code. Correctly link the main code to the main activity profile. If it is difficult to make a choice, estimate the size of the company’s revenue by different types and indicate as the main code the one for which the largest turnover is planned.

You can specify up to 57 additional combinations. Forms P11001 and P21001 contain exactly the same number of empty fields. The law does not limit businesses in the number of OKVED codes. But we recommend following the rules of reasonable sufficiency - no more than 20.

How to change codes and when should this be done?

The most common circumstances for changing OKVED codes:

1. An LLC adds a main or additional activity. Happens often if an entrepreneur is thinking about expanding his business. Thanks to this, activities become more diverse and attractive. Changing OKVED codes is relevant for enterprises in any field.

2. The company plans to engage in other services. With the loss of areas in which the company operated and the loss of a large amount of profit. A decision is made to move to another area. 4. One of the additional directions replaces the main one. The information inside the list changes, new numbers are not applied. But you still cannot do without sending the relevant information to the tax service. Changing activities

  1. The founders of the LLC convene a meeting and discuss among themselves the feasibility of adding or excluding new business areas, then they vote and record the result in the minutes.

  3. The Inspectorate of the Federal Tax Service is notified of the collective decision. For this purpose, an application is submitted in the prescribed form. Along with it, an edited version of the company’s charter is attached, with a receipt for payment of the state fee.
  4. Changes are recorded in the state register of legal entities.
  5. Ready-made papers containing corrected information are issued. The amended version of the statutory papers is collected at least 5 days after completion of the procedure. The same applies to the sheet confirming the entry into the register.

Minor code. Easier or more difficult?

When a company is registered, information regarding additional and main types of work is recorded equally. The main activity should bring the majority of the company's income, additional activities - less than 50%. Non-essential services, products or types of work are provided to customers as needed. For this purpose, additional OKVED codes are selected.

Changing additional digits requires executing the algorithm described above. The only difference is that it is not always necessary to change the charter. There is no need to make a change if the charter already states that the LLC can engage in “other activities not prohibited by law” in addition to its main activities.

Step #5. Submitting documents to add OKVED in 2019 to the tax office

To change the OKVED codes of an LLC in 2019, you must submit the following documents to the tax office (MFC).

Important! By law, you are not required to submit the minutes of the general meeting of participants (the decision of the sole founder), but in practice, tax authorities require these documents to verify compliance with the application deadlines.
